Terms of Service

SeeFirst seefirst.io Effective Date: 18 June 2026

1. Introduction

These Terms of Service ("Terms") govern your access to and use of the SeeFirst platform ("Service"), operated by SeeFirst ("we," "us," or "our") via seefirst.io. By signing up, accessing, or using the Service, you ("Agency," "User," or "you") agree to be bound by these Terms in full.

If you do not agree with any part of these Terms, you must not use the Service.

2. Description of Service

SeeFirst is a white-label competitor intelligence platform that allows marketing agencies to monitor competitor activity on behalf of their SME clients. The Service provides:

Daily automated competitor monitoring via Google Places data and website tracking
Monthly AI-generated intelligence briefings
Weakness intelligence reports
Automated alert notifications
A white-label client portal for agencies to deliver intelligence under their own branding

We reserve the right to modify, discontinue, replace, remove, or limit any feature, functionality, or component of the Service at any time with or without notice. We are not liable for any modification, suspension, or discontinuation of any feature.

3. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, OR UNINTERRUPTED ACCESS.

We do not warrant that the Service will be error-free, that defects will be corrected, or that the Service or the servers that make it available are free of viruses or harmful components.

Your use of the Service is entirely at your own risk.

4. Eligibility

By using the Service you confirm that:

You are at least 18 years of age, or have the legal authority to enter into binding contracts in your jurisdiction
You are using the Service for legitimate business purposes
The information you provide during registration is accurate and complete
You have the authority to bind your agency or business to these Terms

5. Account Registration

To access the Service you must create an account. You are responsible for:

Maintaining the confidentiality of your login credentials
All activity that occurs under your account
Notifying us immediately at hello@seefirst.io if you suspect unauthorised access

We reserve the right to suspend, restrict, or terminate access to the Service at our sole discretion where necessary to protect the integrity, security, reputation, or operation of the Service.

6. Free Trial

We offer a 7-day free trial to all new accounts (both Agency and Direct Business). The following conditions apply:

A valid payment method (credit or debit card) is required to start your free trial
You will not be charged during the 7-day trial period
At the end of the trial period your chosen plan will automatically activate and your payment method will be charged
You may cancel at any time during the trial period without being charged — see Section 9
We may send reminder communications before the end of the trial period, however failure to receive such notices does not affect your responsibility for charges incurred after the trial ends
SeeFirst reserves the right to deny, limit, revoke, or restrict free trial eligibility at our sole discretion
Multiple trial accounts created by the same individual, organisation, payment method, domain, or device may be suspended or terminated without notice

7. Subscription Plans and Billing

Agency Plans:

Agency pricing is per-client and graduated — there is no flat platform fee:

You are automatically placed in the correct pricing band as you add clients.

Direct Business Plans:

Billing terms:

All plans are billed monthly in advance
Payments are processed securely via Stripe
Prices are in Euro (€) and exclude any applicable taxes
We reserve the right to change pricing with 30 days written notice to your registered email address
Continued use of the Service after a price change constitutes acceptance of the new pricing

8. Refund Policy

All payments are non-refundable. We do not offer refunds or credits for:

Partial months of service
Unused features or functionality
Periods where the Service was available but not used
Cancellations made after a billing cycle has commenced

Your subscription provides access to the Service for the full billing period regardless of usage. If you cancel, you retain access until the end of your current billing period.

9. Cancellation

You may cancel your subscription at any time by:

Using the cancellation option in your Agency Settings dashboard
Emailing hello@seefirst.io with your account details

Upon cancellation:

Your account will remain active until the end of your current billing period
You will not be charged for subsequent billing periods
Your account will then move to a cancelled state
You will have 30 days from the cancellation date to export your data
After 30 days all your data will be permanently deleted from our systems — see Section 12

We do not charge cancellation fees.

10. Chargebacks

Initiating a fraudulent or unjustified chargeback with your payment provider may result in immediate suspension or termination of your account without refund. We reserve the right to dispute any chargeback we believe to be fraudulent or unjustified and to recover any associated fees, costs, and damages incurred as a result.

If you have a billing concern please contact us at hello@seefirst.io before initiating a chargeback — most issues can be resolved quickly.

11. White-Label Usage and Restrictions

The Service is designed to be white-labelled by agencies. You may:

Apply your agency branding, logo, and colours to the client-facing portal
Deliver intelligence reports to your clients under your own agency name
Set your own pricing for the intelligence services you deliver to clients

You may not:

Resell, sublicense, or redistribute the SeeFirst platform itself to other agencies or resellers
Allow other agencies to operate accounts under your subscription
Use the Service, its outputs, reports, data, screenshots, workflows, prompts, or functionality to build, train, improve, benchmark, or create a competing product or service
Remove, obscure, or misrepresent the underlying technology in a way that breaches these Terms

Violation of these restrictions will result in immediate account termination without refund.

12. Data Ownership, Retention and Deletion

Your data: All client data, competitor data, and business information you input into the Service remains yours. We do not claim ownership of your data.

Our use of your data: We use your data solely to provide the Service. We do not sell your data to third parties. See our Privacy Policy for full details.

Data portability: You may export your data at any time via the Export function in your Agency Settings dashboard. Exports are provided in CSV format and include your client list, competitor list, alert history, and briefing history.

Data deletion on cancellation:

Upon cancellation your account enters a 30-day grace period
During this period your data remains accessible and exportable
You will receive an email upon cancellation with instructions on how to export your data
After 30 days all data associated with your account will be permanently and irreversibly deleted from our systems including: client records, competitor records, monitoring data, alerts, briefings, weakness reports, and agency settings
This deletion cannot be undone

Data deletion requests: You may request immediate deletion of your data at any time by emailing hello@seefirst.io. We will action deletion requests within 7 days.

13. Data Processing and GDPR

Where the Service processes personal data on behalf of agencies, the agency acts as the Data Controller and SeeFirst acts as the Data Processor in accordance with applicable data protection law including the General Data Protection Regulation (GDPR).

As Data Controller you are responsible for:

Ensuring you have a lawful basis for processing personal data submitted to the Service
Ensuring your clients have been informed about the use of competitor intelligence services
Ensuring your use of the Service complies with all applicable data protection laws

We process personal data only as necessary to provide the Service and in accordance with our Privacy Policy. A Data Processing Agreement (DPA) is available upon request by emailing hello@seefirst.io.

14. Third Party Data and Accuracy Disclaimer

The Service relies on third party data sources including Google Places API to retrieve competitor ratings, reviews, and business information. You acknowledge and agree that:

We do not guarantee the accuracy, completeness, or timeliness of any data retrieved from Google Places or any other third party source
Google ratings and reviews may be delayed, incomplete, or inaccurate
Website monitoring detects changes in publicly accessible content only
AI-generated briefings and weakness reports are generated for informational purposes only and do not constitute professional business, legal, financial, or marketing advice
You are solely responsible for verifying any intelligence, reports, alerts, recommendations, or outputs before relying on them or providing them to your clients
We are not responsible for any business decisions made based on intelligence reports generated by the Service

15. Customer Responsibilities

You are solely responsible for:

Verifying all intelligence, reports, alerts, and outputs generated by the Service before relying on them or distributing them to clients
Ensuring your use of the Service and any information distributed to your clients complies with all applicable laws and regulations
The accuracy of any data you input into the Service
Any claims made to your clients based on intelligence provided by the Service
Obtaining any necessary consents from your clients for data processing activities

16. Security

While we implement reasonable technical and organisational security measures to protect your data, no internet-based system can be guaranteed completely secure. You acknowledge that use of internet-based services carries inherent security risks and you use the Service at your own risk.

You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.

17. Limitation of Liability

To the maximum extent permitted by applicable law:

SeeFirst shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service
SeeFirst shall not be liable for any loss of profits, loss of revenue, loss of data, loss of clients, or loss of business opportunity arising from your use of the Service
SeeFirst's total aggregate liability to you for any claim arising under these Terms shall not exceed the greater of €100 or the total fees paid by you to SeeFirst in the three months immediately preceding the claim
We are not liable for any decisions made by you or your clients based on intelligence reports, alerts, or any other output of the Service

Nothing in these Terms limits liability for death, personal injury, or fraud caused by our negligence.

18. Indemnification

You agree to defend, indemnify, and hold harmless SeeFirst, its officers, employees, contractors, and affiliates from and against any and all claims, damages, liabilities, losses, costs, and expenses (including reasonable legal fees) arising from or relating to:

Your use of the Service
Your clients' use of information, reports, or outputs generated by the Service
Any violation of these Terms by you
Any violation of applicable law or third-party rights by you
Any claims made by your clients arising from intelligence you provided to them using the Service

19. Force Majeure

SeeFirst shall not be liable for any delay or failure to perform resulting from causes beyond its reasonable control including but not limited to acts of God, natural disasters, internet or telecommunications outages, cyber attacks, power failures, strikes, war, government action, changes in law or regulation, or interruptions, failures, or changes to third-party services including Google APIs, Supabase, Vercel, Stripe, or any other infrastructure provider.

20. Service Availability

We aim to provide a reliable and available Service but we do not guarantee uninterrupted access. Specifically:

The Service depends on third party infrastructure including Supabase, Vercel, and Google APIs which may experience outages beyond our control
Scheduled maintenance may occasionally affect availability
Daily monitoring runs at 7am UTC — minor delays may occur
Monthly briefings are generated on your signup anniversary date — delays of up to 24 hours may occur
We are not liable for any loss arising from Service unavailability

21. Beta Features

From time to time we may offer beta, preview, or experimental features. Such features are provided without warranties of any kind and may be modified, restricted, or removed at any time without notice. Use of beta features is entirely at your own risk.

22. Acceptable Use

You agree not to use the Service to:

Violate any applicable law or regulation
Harass, defame, or make false claims about competitors or any third party
Scrape, copy, or redistribute data from the Service beyond your own legitimate business use
Attempt to reverse engineer, decompile, or extract the source code of the Service
Circumvent any security measures or access controls
Upload or transmit malicious code, viruses, or harmful content
Impersonate any person or entity
Use the Service in any way that could damage the reputation of SeeFirst
Create multiple accounts to abuse free trial access

Violation of acceptable use terms will result in immediate account suspension or termination without refund.

23. Claims Must Be Brought Individually

To the maximum extent permitted by applicable law, all claims arising under these Terms must be brought individually. You waive any right to bring claims as a plaintiff or class member in any class action, representative action, or collective proceeding.

24. Intellectual Property

All intellectual property in the SeeFirst platform including but not limited to the software, algorithms, AI models, design, branding, prompts, and documentation is owned exclusively by SeeFirst. These Terms do not grant you any ownership rights in the Service.

Your data and content remain yours. We claim no intellectual property rights over data you input into the Service.

25. Privacy

Your use of the Service is also governed by our Privacy Policy available at seefirst.io/privacy. By using the Service you consent to the collection and use of your data as described in the Privacy Policy.

26. Changes to These Terms

We reserve the right to update these Terms at any time. When we do:

We will update the Effective Date at the top of this page
We will notify you by email at least 14 days before material changes take effect
Continued use of the Service after changes take effect constitutes acceptance of the new Terms
If you do not agree with updated Terms you must cancel your subscription before the changes take effect

27. Termination by SeeFirst

We reserve the right to suspend or terminate your account immediately and without notice if:

You breach any provision of these Terms
We reasonably suspect fraudulent or abusive activity on your account
You fail to pay any amounts due
We are required to do so by law
We determine at our sole discretion that termination is necessary to protect the integrity, security, or reputation of the Service

Upon termination for breach we are not obligated to provide a refund for any remaining subscription period.

28. Governing Law and Disputes

These Terms are governed by the laws of Ireland. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of Ireland.

We encourage you to contact us at hello@seefirst.io before initiating any formal dispute — most issues can be resolved quickly and informally.

29. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remaining Terms remain in full force and effect.

30. Entire Agreement

These Terms together with our Privacy Policy constitute the entire agreement between you and SeeFirst regarding the Service and supersede all prior agreements, representations, and understandings.
